This End User License Agreement (“Agreement”, “EULA”) is a legal contract between ValDatum Technologies Private Limited (“ValDatum”, “we”, “our”, “us”) and the End User (“User”, “Client”, “You”). This Agreement governs your use of ValDatum’s proprietary software, dashboards, scripts, pipelines, tools, applications, and digital platforms (“Software”).

By installing, accessing, or using any ValDatum Software, you agree to be bound by this EULA.
If you do not agree, do not use the Software.

1. License Grant

ValDatum grants you a limited, non-exclusive, non-transferable, revocable license to use the Software strictly for your internal business operations.

This license does NOT transfer ownership or intellectual property rights.

You may:

  • Access dashboards, reports, apps, or pipelines provided by ValDatum

  • Use the software for your internal business needs

  • Receive updates or patches as provided

  • Use cloud-hosted or on-premise versions as agreed in your contract

You may NOT:

  • Resell, sublicense, or share the software with third parties

  • Reverse engineer, decompile, or modify the software

  • Copy or distribute source code, scripts, or internal logic

  • Use the software to build competing services

  • Provide access to unauthorized users

2. Ownership & Intellectual Property

ValDatum retains full ownership of:

  • All source code & compiled software

  • Dashboards, KPIs, reports & BI models

  • Data engineering pipelines (Spark, Airflow, etc.)

  • Automation scripts & connectors

  • Cloud infrastructure templates (Terraform, CI/CD, etc.)

  • UI/UX, design systems, and front-end components

  • Algorithms, data models, and logic

  • Documentation, SOPs, API specs

Nothing in this EULA transfers any IP rights to you.

Any custom work done for your company may be jointly owned or licensed depending on your contract/SOW.

3. Restrictions

You agree NOT to:

  • Copy, modify, translate, or create derivative works

  • Attempt to access the source code

  • Bypass security mechanisms or restrictions

  • Upload malicious code or reverse engineer components

  • Use ValDatum software for illegal or unauthorized purposes

  • Share credentials or provide access to non-authorized persons

  • Use the software for hosting, time-sharing, or service bureau functions

ValDatum reserves the right to immediately terminate access if misuse is detected.

4. Data Handling & Privacy

ValDatum may process business and corporate data ONLY for the purpose of delivering services.

We do NOT:

  • Sell user data

  • Share data with third parties without consent

  • Use customer data for marketing

You are responsible for:

  • Accuracy of the data you provide

  • Ensuring access credentials are secure

  • Complying with regulations relevant to your business

5. Updates, Upgrades & Maintenance

ValDatum may provide:

  • Feature updates

  • Bug fixes

  • Security patches

  • API enhancements

  • Performance improvements

Updates may require downtime. ValDatum will make reasonable efforts to notify you of maintenance windows.

ValDatum is not obligated to support outdated or unauthorized versions.

6. Third-Party Dependencies

ValDatum software may interact with:

  • Cloud platforms (Azure, AWS, GCP)

  • Databricks, Snowflake, BigQuery

  • Power BI, Tableau

  • CRM/ERP tools (Salesforce, HubSpot, NetSuite, QuickBooks)

  • Billing platforms (Stripe, Razorpay, Chargebee)

ValDatum is not responsible for failures, outages, API changes, or data issues caused by third-party systems.

7. Fees & Payment

Use of ValDatum software may require:

  • Subscription fees

  • Support or maintenance fees

  • One-time implementation charges

  • Licensing fees

Failure to pay fees may result in license suspension or termination.

8. Confidentiality

Both parties agree to:

  • Keep all shared information confidential

  • Not disclose confidential data to any third party

  • Use information strictly for the project engagement

ValDatum’s proprietary methods, pipelines, and architecture remain confidential.

9. Limited Warranty

ValDatum provides the software “AS IS” and disclaims all warranties including:

  • Fitness for a particular purpose

  • Merchantability

  • Non-infringement

  • Error-free or uninterrupted performance

We do not guarantee:

  • Specific financial or analytical outcomes

  • 100% uptime

  • Compatibility with all external systems

10. Limitation of Liability

To the maximum extent permitted by law:

  • ValDatum is not liable for indirect, incidental, or consequential damages

  • ValDatum’s total liability is limited to the fees paid in the last 3 months

  • ValDatum is not responsible for user mistakes, incorrect input, or security breaches caused by user negligence

11. Term & Termination

This Agreement remains in effect until terminated.

ValDatum may terminate immediately if:

  • You breach any provision of this EULA

  • You misuse our software

  • Licensing fees are unpaid or overdue

  • Unauthorized use is detected

Upon termination:

  • You must stop using the software immediately

  • You must delete all copies of software, documentation, or scripts

  • Access to dashboards, pipelines, and hosted tools may be revoked

12. Governing Law

This EULA is governed by the laws of India.

13. Changes to Agreement

ValDatum may modify this EULA at any time.
Continued use of the software constitutes acceptance of updated terms.
